Terms of Service

These Terms of Service ("Terms") govern your use of Cobalt AMS, operated by Cornerstone Software LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Cobalt AMS is a cloud-based automotive management platform that provides inventory tracking, profit analysis, work order management, partner settlements, and related tools for independent vehicle dealers, flippers, and repair shops. We reserve the right to modify, update, or discontinue features of the Service at any time with reasonable notice.
2. Accounts
You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorized access to your account.
You must be at least 18 years old to use the Service. By creating an account, you represent that you are at least 18 years of age.
3. Your Data
You retain full ownership of all data you enter into the Service, including vehicle records, work orders, financial information, customer data, and any other business records ("Your Data"). We do not claim any ownership rights over Your Data.
You grant us a limited license to store, process, and display Your Data solely for the purpose of providing the Service to you. We will not access, use, or share Your Data for any other purpose except as required by law.
You are responsible for maintaining your own backups. While we take reasonable precautions to protect Your Data, we are not liable for data loss. We provide export functionality so you can regularly back up your records.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to any part of the Service or its systems
- Interfere with or disrupt the Service or servers connected to the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to store or transmit malicious code
- Resell, sublicense, or redistribute access to the Service without our written consent
We reserve the right to suspend or terminate accounts that violate these terms.
5. Subscription and Billing
Cobalt AMS offers free and paid subscription plans. Paid plans are billed monthly or annually through Stripe. Prices are listed on our website and may change with 30 days' notice.
Free Trial. New accounts may include a free trial period. At the end of your trial, you will need to subscribe to a paid plan to continue using premium features.
Cancellation. You may cancel your subscription at any time through your account settings. Your access to paid features will continue through the end of your current billing period. We do not offer prorated refunds for partial billing periods.
Refunds. If you are unsatisfied with the Service within the first 14 days of a new paid subscription, contact us for a full refund. After 14 days, refunds are issued at our discretion.
6. Intellectual Property
The Service, including its design, code, logos, trademarks, and documentation, is owned by Cornerstone Software LLC and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described here.
"Cobalt AMS," the Co periodic tile logo, and "Automotive Management Systems" are trademarks of Cornerstone Software LLC.
7. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
Cobalt AMS is a business tool — it is not a substitute for professional accounting, legal, or tax advice. You are responsible for the accuracy of data you enter and for making your own business decisions based on that data.
8. Limitation of Liability
To the maximum extent permitted by law, Cornerstone Software LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill, arising from your use of the Service.
Our total aggregate liability for any claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Cornerstone Software LLC, its officers, and affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
10. Governing Law
These Terms are governed by the laws of the State of Indiana, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of Marion County, Indiana.
11. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through a notice in the Service at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
